Terms and Conditions

Review Collector (ABN 42 543 582 827) is a review automation and local SEO service operated by Matthew O'Brien, a sole trader based in Victoria, Australia. In these Terms, references to "Review Collector", "we", "us", and "our" refer to Matthew O'Brien trading as Review Collector.

These Terms and Conditions ("Terms") govern your use of the Review Collector service. By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Services Provided

Review Collector provides local businesses with tools and services to manage and grow their online reputation, including:

• Review Automation: Automated SMS and email campaigns that request Google reviews from your existing and new customers.
• Review Reactivation: Outreach to your existing customer database to generate reviews from past customers.
• Automated Review Responses: Professional responses to customer reviews posted on your Google Business Profile on your behalf.
• Google Business Profile Optimisation: Where engaged as an additional service, optimisation of your Google Business Profile to improve local search visibility.
• Reporting: Access to performance data relating to review volume, response rates, and Google Business Profile activity.

2. Eligibility

To engage Review Collector's services, you must:

• Be at least 18 years old or the legal age of majority in your jurisdiction.
• Have the authority to enter into legally binding agreements on behalf of your business.
• Agree to comply with these Terms and all applicable laws and regulations, including the Spam Act 2003 (Cth) and the Australian Privacy Principles.

3. Client Onboarding and Account Setup

Review Collector accounts are set up by us on your behalf following an onboarding call. You agree to:

• Provide accurate, complete, and up-to-date business information during onboarding, including your customer contact list where required.
• Confirm that any customer contact list you provide has been collected lawfully and that you have the right to contact those individuals by SMS and email for the purposes of requesting a review.
• Notify us promptly of any changes to your business details, contact information, or Google Business Profile access.

We reserve the right to suspend or terminate your account if information provided during onboarding is found to be inaccurate, false, or incomplete.

4. Licence to Use

We grant you a limited, non-exclusive, non-transferable, and revocable licence to use the Review Collector service solely for your business purposes, subject to these Terms. You agree not to:

• Resell, sublicense, or otherwise make the service available to any third party without our prior written consent.
• Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
• Interfere with or disrupt the operation of any third party platforms connected to our service, including Google.

5. Client Responsibilities

You are solely responsible for:

• Ensuring that any customer data you provide to us has been collected lawfully and that customers have not opted out of receiving marketing communications.
• Any content you request us to include in review request messages or review responses.
• Complying with the terms of service of any third party platform, including Google Business Profile, in relation to your review activity.
• Not soliciting, incentivising, or fabricating reviews in a manner that violates Google's review policies.

6. Automated Review Responses

Review Collector uses artificial intelligence to generate and post responses to customer reviews on your Google Business Profile on your behalf. By enabling this feature, you agree that:

• AI-generated responses are produced based on the content of each review and pre-set parameters, and are posted automatically without individual review by you unless you have requested otherwise.
• You are responsible for monitoring your Google Business Profile to ensure responses are appropriate for your business.
• You may request changes to the response style or tone at any time by contacting us.
• We are not liable for any claims, disputes, or reputational consequences arising from automated review responses, including responses that may be inaccurate or contextually inappropriate.

7. Payment and Subscription

Our services are provided on a monthly or annual subscription basis. By subscribing, you agree to:

• Pay the fees associated with your chosen subscription plan as outlined on our pricing page.
• Provide accurate payment information and maintain an active payment method for the duration of your subscription.
• Acknowledge that all fees are payable in Australian dollars and include GST.

We offer a service guarantee: if you do not receive at least 10 new Google reviews within your first 30 days, we will continue to run your account at no additional charge until that threshold is met. This guarantee applies to the review automation service only and is subject to you having provided an adequate customer contact list and completed onboarding in full.

We reserve the right to modify our pricing and subscription plans at any time. Changes to pricing will take effect at the end of your current subscription term and we will notify you in advance.

8. Termination

Either party may cancel the subscription at any time. There are no lock-in contracts. Cancellation takes effect at the end of the current billing period.

We reserve the right to suspend or terminate your access to the service immediately, without notice, if you:

• Violate these Terms.
• Fail to pay fees when due.
• Use the service in a way that breaches applicable law or third party platform terms.

Upon termination, you are responsible for exporting any data you require. We are not obligated to retain your data following termination.

9. Intellectual Property

All content, materials, and systems comprising the Review Collector service, including but not limited to campaign templates, workflows, and reporting tools, are owned by or licensed to Review Collector. You may not reproduce, distribute, or use any of our proprietary materials without our express written consent.

Any customer data, review content, or business information you provide to us remains your property. You grant us a limited licence to use this information solely for the purpose of delivering the services described in these Terms.

10. Data Privacy

Your use of our services is subject to our Privacy Policy, which governs how we collect, use, and protect personal information.

We process personal data on your behalf in order to deliver the review automation service. In doing so, we act as a data processor in relation to your customer data. You, as the business engaging our services, are the data controller and are responsible for ensuring that your customers' personal information has been collected lawfully and that you have a lawful basis for sharing it with us for the purposes of review outreach.

We use GoHighLevel as our CRM and automation platform. Customer data provided to us is processed through GoHighLevel's systems, which may be hosted outside Australia. By engaging our services, you consent to this data processing arrangement.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, including but not limited to:

• Warranties that the service will generate a specific number of reviews or achieve a specific Google ranking outcome.
• Warranties of uninterrupted or error-free service.
• Warranties that the service will be compatible with all third party platforms at all times, including Google Business Profile, which may change its features or policies without notice.

12. Limitation of Liability

To the maximum extent permitted by law, Review Collector and Matthew O'Brien shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.
• Damages arising from changes to Google's policies, algorithms, or platform features that affect your review profile or local search ranking.
• Damages exceeding the total fees paid by you to Review Collector in the three months prior to the event giving rise to the claim.

Nothing in these Terms limits our liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless Review Collector and Matthew O'Brien from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the service in violation of these Terms.
• Your violation of any applicable law, including the Spam Act 2003 (Cth) or the Privacy Act 1988 (Cth).
• Any customer data you provide to us that was collected unlawfully or in breach of any individual's privacy rights.

14. Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Victoria and the Commonwealth of Australia.

15. Dispute Resolution

In the event of a dispute arising from these Terms, you agree to first attempt to resolve the dispute informally by contacting us at hello@reviewcollector.com.au. If the dispute cannot be resolved informally within 30 days, you agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email. Your continued use of our services after the changes take effect constitutes your acceptance of the updated Terms. We will always update the date at the top of this page when changes are made.
